Item 5.02		Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

(b) On October 9, 2008, Randall L. Elkins resigned as Controller and Acting Chief Financial Officer of BPI Energy Holdings, Inc. (“BPI”), effective as of that date. Mr. Elkins has agreed to provide services to BPI on a consulting basis at least until October 31, 2008, and thereafter as may be agreed upon between Mr. Elkins and BPI.
