Item 8.01. Other Events.

     On March 15, 2006, Oriental Financial Group Inc. (the “Company”) issued a press release announcing that it will be unable to file its report on Form 10-K for the six-month transition period ended December 31, 2005, due March 16, 2006. The Company will request an extension of time from the SEC on Form 12b-25 to file its report on Form 10-K. The reason for the delay is set forth in the press release. A copy thereof is attached to this report.
