ITEM 8.01.     OTHER EVENTS
On January 31, 2008, Ciena Corporation and Northrop Grumman Guidance and Electronics Company (previously named Litton Systems, Inc.) entered into an agreement to settle patent-related litigation between the parties pending in the United States District Court for the Central District of California. A description of this litigation and the history of the proceedings can be found in “Item 3. Legal Proceedings” of Part I of Ciena’s Annual Report on Form 10-K filed with the Securities and Exchange Commission on December 27, 2007. Pursuant to the settlement agreement, Ciena has made a one-time payment of $7.7 million, in full satisfaction of all claims in the lawsuit. The payment will be recorded in Ciena’s first quarter of fiscal 2008.
