ITEM 1.01 — ENTRY INTO A MATERIAL DEFINITIVE AGREEMENT
     On October 25 2005, the Compensation Committee of the Board of Directors of Ciena Corporation approved an increase in annual base salary, for Stephen B. Alexander, Ciena’s Chief Technology Officer and Senior Vice President of Products & Technology, and Arthur Smith, Ph.D., Ciena’s Sr. Vice President of Global Operations, as follows:
