Item 2.02 Results of Operations and Financial Condition.

On April 8, 2011, PowerSecure International, Inc., a Delaware corporation (the “Company”), made available supplemental unaudited consolidated quarterly statement of operations data for the fiscal years ended December 31, 2010 and 2009 on the Investor Relations section of the Company’s website at www.powersecure.com. This supplemental unaudited financial data, which reflects Southern Flow Companies, Inc. as a discontinued operation, is based upon, has been prepared on the same basis as, and has been posted solely for the purpose of providing additional detail relating to, the consolidated statement of operations data for those years that has been previously filed by the Company in its Annual Report on Form 10-K for the fiscal year ended December 31, 2010, and should be read together therewith.

A copy of the Company’s supplemental unaudited consolidated quarterly statement of operations data for the fiscal years ended December 31, 2010 and 2009 is filed herewith as Exhibit 99.1 and incorporated herein by this reference. The information in this Item 2.02, including Exhibit 99.1, is being furnished pursuant to Item 2.02 and shall not be deemed “filed” for purposes of Section 18 of the Securities Exchange Act of 1934, as amended (the “Exchange Act”), or otherwise subject to the liabilities of that Section, and such information shall not be deemed incorporated by reference in any filing under the Securities Act of 1933, as amended, or the Exchange Act, except as shall be expressly set forth by specific reference in such a filing.
