Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers
In accordance with the Citizens Inc. (“Citizens”) Bylaws and the Colorado Business Corporation Act, the Harold E. Riley Trust, Citizens’ sole Class B shareholder, by and through Harold E. Riley, Trustee, appointed Dr. Terry S. Maness to serve as a Class B Director effective February 16, 2011. Dr. Maness is Dean of Baylor University’s Hankamer School of Business. He has served in that capacity since 1997. As Dean of one of America’s leading business schools, Dr. Maness brings another strong business mind to our Board. Dr. Maness is the author of six books about financial analysis and financial management, and also a contributing author to various publications, such as the Journal of Finance, Journal of Banking and Finance, Journal of Financial Education, Journal of Portfolio Management, Journal of Financial and Quantitative Analysis, Journal of Futures Markets, Journal of Cash Management and Corporate Controller.
