The Audit Committee of the Board of Directors of the Company (the "Audit Committee") accepted KPMG's resignation on August 9, 2005. KPMG's audit reports on the Company's consolidated financial statements for each of the past two fiscal years ended December 31, 2004 and December 31, 2003 did not contain any adverse opinions or disclaimers of opinion, nor were such reports qualified or modified as to uncertainty, audit scope or accounting principles. The audit report of KPMG LLP on management's assessment of internal control over financial reporting and the effectiveness of internal control over financial reporting as of December 31, 2004 did not contain an adverse opinion or disclaimer of opinion, and was not qualified or modified as to uncertainty, audit scope or accounting principles. During the two most recent fiscal years ended December 31, 2004 and December 31, 2003, and through August 9, 2005, there were no disagreements with KPMG on any matter of accounting principles or practices, financial statement disclosure, or auditing scope or procedures, which disagreement, if not resolved to KPMG's satisfaction would have caused them to make reference to the subject matter of the disagreement in connection with the audit reports of the financial statements for such years. During the two most recent fiscal years ended December 31, 2004 and December 31, 2003, and through August 9, 2005, there were no reportable events as described under Item 304(a)(1)(v) of Regulation S-K. The Audit Committee has approved the engagement of a new independent registered public accounting firm as the Company's principal accountants, and is waiting for the new auditors to complete their client acceptance procedures.
