Item 7.01    Regulation FD Disclosure

On May 28, 2013, Inland Real Estate Corporation (the “Company”) announced that it is commencing an underwritten public offering of 9,000,000 shares of its common stock. The offering price and other terms are to be determined by negotiations between the Company and the underwriters. The Company expects to grant the underwriters a thirty-day option to purchase up to 1,350,000 additional shares to cover over-allotments, if any.

Based upon the expected terms and size of the offering, and the use of proceeds from the offering, the Company expects that its guidance for FFO per share will remain the same as previously issued in its press release dated May 9, 2013, furnished as Exhibit 99.1 to the Company's Current Report on Form 8-K, as furnished to the Securities and Exchange Commission on May 9, 2013.
