Item 5.02     Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers

On April 26, 2006, Janice Patti, the Comptroller and principal accounting officer of First Commonwealth Financial Corporation, informed the company of her resignation, which will be effective May 31, 2006.  John J. Dolan, Executive Vice President and Chief Financial Officer of First Commonwealth, will assume the additional duties of the principal accounting officer until the company names a permanent successor.
