(1) The price reported in Column 4 is a weighted average price. The shares were purchased in multiple transactions at prices ranging from $0.48 to $0.50, inclusive. The Reporting Person undertakes to provide Widepoint Corporation (the "Company"), any security holder of the Company, or the staff of the Securities & Exchange Commission, upon request, full information regarding the number of shares purchased at each separate price within the range set forth herein.
(2) Grant of stock options under the Company's Stock Incentive Plan. The stock options vest 100% on September 27, 2021, subject to continued employment, and vesting may be accelerated upon the satisfaction of certain performance criteria.
(3) Options became fully vested on December 31, 2016.
(4) One-third (1/3) of the options vested on each of the 12-month, 24-month and 36-month anniversaries of March 21, 2013, such that all options became fully vested on March 21, 2016.
