PART III - NARRATIVE

We cannot file our annual report on Form 10-K within the prescribed period without unreasonable effort because it has taken somewhat longer than expected to integrate financial data from our new ERP system with our prior system. In addition, we experienced unusual complexity with respect to our foreign tax provision, partly due to our restructuring program in Europe, and an increasing volume of intercompany transactions among the United States, Europe and Asia. We expect that we will be able to complete the work necessary to file our Form‑10‑K for the fiscal year ended July 31, 2015 within the fifteen day extension period provided by Rule 12b-25.
