SAP AG, a stock corporation organized under the laws of the Federal Republic of Germany (“SAP”), submitted pursuant to German Securities Trading Act an announcement concerning its decision to decrease the Company’s capital stock by canceling 21,000,000 treasury shares (the “Announcement”) to the operator of the electronic version of the Bundesanzeiger (German Federal Gazette). The Announcement was published on September 4, 2008. The English translation of the Announcement is attached as Exhibit 99.1 hereto and incorporated by reference herein.
