Item 8.01 Other Events.

On January 20, 2010, the Company issued a press release announcing that it has exited the drilling and completion fluid services business. The Company's subsidiary, Ambar Lone Star Fluid Services LLC completed the sale of substantially all of its assets, other than billed accounts receivable. A copy of the press release is attached hereto as Exhibit 99.1 and incorporated herein by reference.
