Item 5.02 Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.

On August 30, 2006, UGI Corporation (the "Company") announced that Anthony J. Mendicino, senior vice president-finance and chief financial officer, will retire in the spring of 2007. Mr. Mendicino has served as chief financial officer of the Company since September of 1998. The Company plans to name a successor prior to Mr. Mendicino's departure.
