Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

On February 11, 2018, Roger A.S. Day notified Crawford & Company (the “Company”) of his resignation from the Board of Directors of the Company for personal reasons. Mr. Day served as a valued member of the Board since July 29, 2013, and his decision to resign was not due to any disagreement with the Company (as described in Item 5.02(a) of Form 8-K). The Company thanks Mr. Day for his years of service to the Company. Under the By-laws of the Company, the board size remains at ten (with one vacancy), unless modified by the Board or shareholders.
