Section 1 Registrants Business and Operations
Item 1.01 | Entry into a Material Definitive Agreement |
On October 18, 2017, KMG Chemicals, Inc. (the Company) entered into an underwriting agreement (the Underwriting Agreement) with Goldman Sachs & Co. LLC, as representative of the several underwriters listed in Schedule I thereto (collectively, the Underwriters), providing for the offer and sale in a firm commitment offering of 3,000,000 shares of the Companys common stock, par value $0.01 per share (the Common Stock), at a public offering price of $54.00 per share of Common Stock. Pursuant to the Underwriting Agreement, the Company granted the Underwriters a 30-day option to purchase up to 450,000 additional shares of Common Stock at the same price. The offer and sale of the Common Stock is registered under the Securities Act of 1933, as amended (the Securities Act), pursuant to the Companys shelf registration statement on Form S-3 (File No. 333-217185), which was filed with the Securities and Exchange Commission on April 7, 2017 and declared effective on April 17, 2017. The Company expects the transaction to close on or about October 23, 2017.
In the Underwriting Agreement, the Company agreed to indemnify the Underwriters against certain liabilities, including liabilities under the Securities Act, or to contribute to payments the Underwriters may be required to make because of any of those liabilities.
