Item 1.01. | Entry into a Material Definitive Agreement. |
Effective December 10, 2014, TTM Technologies, Inc., a Delaware corporation (TTM or the Company), entered into an amended and restated indemnification agreement with each of its directors and an indemnification agreement with certain of its officers, each in the form attached hereto as Exhibit 10.1.
Pursuant to the indemnification agreement, each director or officer party thereto will be indemnified to the fullest extent permitted by applicable law against all expenses, judgments, penalties, fines, and amounts paid in settlement actually and reasonably incurred by such director or officer, or on such directors or officers behalf, arising out of his or her service as a director or officer. The indemnification agreement further provides procedures for the determination of an indemnitees right to receive indemnification and the advancement of expenses.
