ITEM 5.07 SUBMISSION TO A VOTE OF SECURITY HOLDERS
PURE Bioscience, Inc. (the Company) held its annual meeting of stockholders on January 30, 2014 (the Annual Meeting) pursuant to a definitive notice and proxy statement filed with the Securities and Exchange Commission on December 20, 2013. Descriptions of each of the proposals voted upon at the Annual Meeting are contained in the definitive proxy statement.
As of December 20, 2013, the record date for the annual meeting, 25,403,432 shares of the Companys common stock were issued and outstanding. The holders of a total of 20,733,836 shares (81.61%) of common stock were present at the Annual Meeting, either in person or by proxy, which total constituted a quorum for purposes of the Annual Meeting.
The following is a summary of the proposals voted on at the Annual Meeting, including the number of votes cast for and against, and the number of abstentions and broker non-votes, with respect to each proposal.
1. The stockholders elected the following persons to the Companys board of directors to hold office until the 2014 annual meeting of stockholders and until their respective successors are elected and qualified. The voting results, with respect to such persons, were as follows:

In light of the results of the stockholder vote on the frequency of future non-binding advisory votes on the compensation of the Companys named executive officers, and consistent with the Companys recommendation, the Companys Board of Directors has determined that the Company will hold a non-binding advisory vote on executive compensation annually until the next required vote on the frequency of future non-binding advisory votes on the compensation of the Companys named executive officers.
No other items were presented for stockholder approval at the Annual Meeting.
