DEREGISTRATION OF SECURITIES
This Post-Effective Amendment No. 1 (the Amendment), relates to the Registration Statement on Form S-8 (the Registration Statement), File No. 333-91140, of A.C. Moore Arts & Crafts, Inc. (the Company), filed with the Securities and Exchange Commission on June 25, 2002. The Registration Statement pertains to the registration of 750,000 shares of the Companys common stock, no par value per share (the Shares), issuable under the 2002 Stock Option Plan. The Company has filed this Amendment to withdraw and remove from registration the Companys unissued and unsold Shares issuable pursuant to the Registration Statement.
On November 18, 2011, pursuant to the Agreement and Plan of Merger, dated as of October 3, 2011, and as amended as of October 17, 2011, among the Company, Nicole Crafts LLC, a Delaware limited liability company (Parent), and Sbars Acquisition Corporation, a Pennsylvania corporation and a wholly owned subsidiary of Parent (Merger Sub), Merger Sub merged with and into the Company, with the Company continuing as the surviving corporation (the Merger).
As a result of the Merger, the offering of the Companys Shares pursuant to the Registration Statement has been terminated. In accordance with an undertaking made by the Company in the Registration Statement to remove from registration, by means of a post-effective amendment, any securities of the Company which remain unsold at the termination of the offering, the Company files this Amendment to terminate the effectiveness of the Registration Statement and to remove from registration all of the Shares registered but unsold under the Registration Statement as of the date hereof, if any.
