Item 5.07. Submission of Matters to a Vote of Security Holders
(a) The annual meeting of stockholders (the Annual Meeting) of Sabra Health Care REIT, Inc. (the Company) was held on June 16, 2011.
(b) At the Annual Meeting, the Companys stockholders (a) elected the five nominees identified in the table below to the Board of Directors of the Company to serve until the Companys 2012 Annual Meeting of Stockholders and until their successors are duly elected and qualified (Election of Directors), (b) ratified the appointment of PricewaterhouseCoopers LLP as the Companys independent registered public accounting firm for the fiscal year ending December 31, 2011 (Auditor Ratification), (c) approved, on an advisory basis, the compensation paid to the Companys executive officers as set forth in the Proxy Statement (Advisory Compensation Vote), and (d) indicated their preference, on an advisory basis, that an advisory vote on the compensation of the Companys executive officers be held every year (Advisory Frequency Vote). Set forth below are the final voting tallies for the Annual Meeting:

(d) After considering the vote results on the Advisory Frequency Vote, the Board of Directors of the Company has decided that it will include an advisory vote on the compensation paid to the Companys executive officers in its proxy materials every year until the next required vote on the frequency of future advisory votes on executive compensation, which will occur no later than the Companys annual meeting of stockholders in 2017.
