Item 8.01. Other Events.

On March 28, 2007, Altera Corporation (the “Company”) issued a press release announcing that its Board of Directors has declared a cash dividend of $0.04 per share of the Company’s common stock. The dividend will be paid on June 1, 2007 to stockholders of record as of the close of business on May 10, 2007. The press release also announced a 50 million share increase in the number of shares authorized for repurchase under the Company’s share repurchase program. A copy of the press release is filed as Exhibit 99.1 hereto and is incorporated herein by reference.
