On March 24, 2005, SAP Aktiengesellschaft Systeme, Anwendungen, Produkte in der Datenverarbeitung, a stock corporation organized under the laws of the Federal Republic of Germany (“SAP”), issued a press release announcing that Dietmar Hopp, founder of SAP and a member of the supervisory board since 1998, will resign from this position at the close of the next annual general meeting (AGM) of shareholders (the “Press Release”). The Press Release is attached as Exhibit 99.1 hereto and incorporated by reference herein.
