Item 5.02. Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers; Compensatory Arrangement of Certain Officers.
 
On January 21, 2007, Edwin Winiarz resigned from his position as Senior Executive Vice President, Treasurer and Chief Financial Officer of Intelli-Check, Inc. (the “Company”). Mr. Winiarz will continue to be a member of the Company’s Board of Directors and will assist the Company in connection with its year-end audit and in connection with its transition to a new Chief Financial Officer. Mr. Winiarz did not resign due to any disagreements on any matter relating to the Company’s operations, policies or practices. The Company has initiated a search for a new Chief Financial Officer.
