Item 2.02. Results of Operations and Financial Condition.
On August 28, 2015, Liberty Tax, Inc. (the “Company”) issued a press release regarding its earnings for the first quarter of the fiscal year ending April 30, 2016. A copy of the release is being furnished as Exhibit 99.1 hereto and incorporated herein by reference. In addition, on August 28, 2015 at 8:30 a.m. Eastern Time, the Company will hold a teleconference for analysts, institutional investors and stockholders to discuss results for the first quarter of the fiscal year ending April 30, 2016.

Item 8.01. Other Events
On August 28, 2015, the Company also announced that its Board of Directors approved a cash dividend to its stockholders. The quarterly dividend of $0.16 per share will be paid on October 22, 2015 to stockholders of record at the close of business on October 15, 2015.
