Armada Hoffler Properties Announces the Filing of a Registration Statement on Form S-3

Armada Hoffler Properties, Inc. (NYSE:AHH) announced today that it recently filed a registration statement on Form S-3 with the Securities and Exchange Commission. The purpose of the filing was to register the resale of 2,000,000 shares of common stock, all of which were issued in a private placement in connection with the recently closed acquisition of a stabilized retail asset. In addition to current income, the acquisition is expected to present upside opportunities through re-tenanting and development efforts.

The resale registration statement was filed by the Company pursuant to a contractual obligation with the sellers of the property. The registration of the resale of the shares of the Company’s common stock does not necessarily mean that any shares of the Company’s common stock will be sold under the registration statement and, to the Company’s knowledge, there are currently no plans by the holders to sell any of the shares.
