Item 5.02   Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
     On April 30, 2009, Fentura Financial, Inc. (the “Company”) announced the appointment of James A. Wesseling and Dr. William Dery to the Company’s board of directors. Mr. Wesseling is an attorney with the law firm of Wesseling & Brackmann, P.C. located in Hudsonville, Michigan and currently serves as Chairman of the Company’s banking subsidiary, West Michigan Community Bank. Dr. Dery is a medical doctor and director of the Midland Family Medicine Residency Program at Mid-Michigan Medical Center in Midland, Michigan. The Company has not yet determined the committees on which Messrs. Wesseling and Dery will serve.
     Effective April 28, 2009, J. David Karr has retired from the Company’s board of directors and from the board of directors of Davison State Bank, having reached the mandatory retirement age of 70.
