Item 5.02.		Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.

(d) On February 16, 2007, OM Group, Inc. (the “Company”) appointed Gordon A. Ulsh to the Company’s Board of Directors. The Board of Directors expects to finalize appointment of Mr. Ulsh to one or more board committees in the coming months.
