Item 8.01. Other Events.
     On November 21, 2005, Metretek Technologies, Inc., a Delaware corporation (the “Company”), issued a press release announcing that PowerSecure, Inc., a Delaware corporation and wholly-owned subsidiary of the Company, had received verbal orders from two large commercial customers for distributed generation projects that are anticipated to generate revenues in excess of $45 million in the aggregate. A copy of the Company’s press release is attached hereto as Exhibit 99.1 and incorporated herein by this reference.
