     On April 3, 2006, Covanta Holding Corporation (the “Company”) issued a press release announcing the departure of Craig Abolt, the Company’s Senior Vice President and Chief Financial Officer, effective at the end of the third quarter of 2006. A copy of the press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
