Explanatory Note:

     This Post-Effective Amendment No. 1 to Registration Statement on Form S-8, File No. 333-25245 (the “Registration Statement”) is being filed to deregister certain Ordinary Shares of SkillSoft Public Limited Company (the “Company”) that were registered pursuant to the Company’s 1996 Supplemental Stock Plan (the “Plan”).

     The Registration Statement registered 14,000,000 (as adjusted for stock splits occurring subsequent to the filing of the Registration Statement) Ordinary Shares issuable under the Plan, and it is hereby amended to deregister 3,898,446 Ordinary Shares reserved for issuance under the Plan that remain unsold.
