The following information, intended to be furnished under Item 2.02, Results of Operations and Financial Condition, is instead furnished under Item 7, Regulation FD Disclosure.
On February 8, 2005, Encore Wire Corporation (the Company) issued a press release (the Earnings Release) describing selected financial results of the Company for the fourth quarter of 2004. A copy of the February 8, 2005 Earnings Release was furnished as Exhibit 99.1 to the Companys Report on Form 8-K (the Original Form 8-K) which was filed with the Securities and Exchange Commission on February 8, 2005.
During its conference call with analysts and shareholders held on February 9, 2005, the Company disclosed certain non-GAAP financial information related to the Companys operations for the year ended December 31, 2004. The following non-GAAP financial information was disclosed:

The Company is filing this Amendment to the original Form 8-K to reconcile EBITDA (the non-GAAP financial information disclosed) with net income. EBITDA as presented is calculated as follows:

EBITDA is defined as net income before interest, income taxes, depreciation and amortization. EBITDA was presented because it is a required component of financial ratios reported by the Company to the Companys banks, and is also frequently used by securities analysts, investors and other interested parties, in addition to and not in lieu of Generally Accepted Accounting Principles (GAAP) results to compare to the performance of other companies who also publicize this information. Financial analysts frequently ask for EBITDA when it has not been presented. EBITDA is not a measurement of financial performance under GAAP and should not be considered an alternative to net income as an indicator of the Companys operating performance or any other measure of performance derived in accordance with GAAP.
