("Smith") approved a revision to Smith's director compensation, effective as of January 1, 2005, that provides for an increase in the annual cash retainer paid to the non-employee directors from $30,000 to $45,000 and an increase in the annual cash retainer paid to committee chairmen from $8,000 to $10,000 (other than the Audit Committee chairman retainer which was increased from $12,000 to $15,000). In addition, the value of the annual recurring Common Stock grant was increased from $65,000 to $75,000 and an initial grant of Common Stock with a value of $75,000 was approved for new non-employee directors. The Stock Plan for Outside Directors was amended and restated accordingly and is filed herewith as an exhibit. A summary of Smith's director compensation is also filed herewith as an exhibit.
