Item 8.01 Other Events.
On September 15, 2009, we issued a press release announcing the launch of an offer by Toll
Brothers Finance Corp., Inc. (the “Purchaser”), our wholly-owned subsidiary, to purchase for cash
up to $150 million in aggregate principal amount of its 6.875% Senior Notes due 2012 and 5.95%
Senior Notes due 2013 (the “Tender Offer”) and an offering of senior notes by the Purchaser,
guaranteed by us and a majority of our homebuilder subsidiaries (the “Notes Offering”). A portion
of the net proceeds of the Notes Offering will be used to finance the Tender Offer. The press
release announcing the commencement of the Tender Offer and the Notes Offering is attached as
Exhibit 99.1 to this Current Report on Form 8-K and is incorporated herein by reference.
