Item 7.01 Regulation FD Disclosure.

     PowerSecure International, Inc., a Delaware corporation (the “Company”), will present at the Rodman & Renshaw Annual Global Investment Conference (the “Conference”) being held at The New York Palace Hotel in New York City on September 10, 2009, at 8:45 a.m., New York City Time. The Company’s presentation and participation at this conference will be led by Christopher T. Hutter, the Vice President and Chief Financial Officer of the Company, and will include information about the business, operations, financial results, strategic initiatives and prospects of the Company.

     A copy of the press release issued by the Company on September 3, 2009 announcing the Company’s participation at the Conference is filed herewith as Exhibit 99.1 and incorporated herein by this reference. The Company’s presentation to be used at the Conference will be webcast live. The slide presentation to be given at the Conference, along with a link to the live webcast, is available on the Investor Relations section of the Company’s website at www.powersecure.com, and a copy of the slide presentation is filed herewith as Exhibit 99.2 and incorporated herein by this reference.
