(e) Compensatory
Arrangements.
At the
request of our Chairman, Macon Brock, the Compensation Committee reduced Mr.
Brock's salary to $200,000 per annum, effective May 1, 2008. The Committee also
decided to grant Mr. Brock options for 21,000 shares of stock the day after the
Company holds its earnings call for the first quarter of 2008.
The
Company intends to provide additional information regarding
the compensation awarded, including equity awards, to Mr. Brock and
the other Named Executive Officers in respect of and during the fiscal
year ended February 2, 2008, in the proxy statement for the Company's 2008
Annual Meeting of Stockholders.
