In accordance with SEC Release Nos. 33-8216 and 34-47583, the following information, required to be furnished under “Item 12. Results of Operations and Financial Condition,” is furnished under “Item 9. Regulation FD Disclosure.”

On April 22, 2003, Southwest Gas Corporation (Southwest) announced via press release that first quarter 2003 operating results are expected to fall short of the consensus street estimate by approximately one-third. Southwest attributes the lower results to warmer-than-normal weather in its two primary operating areas. Nevada experienced its warmest January on record and Arizona its second warmest. Unseasonably warm temperatures continued through March. A copy of the Company’s press release is attached hereto as Exhibit 99.
