Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year. |

On March 11, 2009, the Board of Trustees of DWS Municipal Income Trust (the "Trust") amended and restated in their entirety the bylaws of the Trust (the "Amended and Restated Bylaws"). The amendments provided for, among other things, (i) a classified Board; (ii) certain advance notice requirements for a shareholder to properly bring a matter, including nominees for Trustee, before a shareholder meeting; and (iii) certain procedural requirements for shareholders to call a meeting of shareholders.
The foregoing description of the Amended and Restated Bylaws does not purport to be complete and is qualified in its entirety by reference to the full text of the Amended and Restated Bylaws, which are attached hereto as Exhibit 3.1 and are incorporated herein by reference.
