Item 5.02.   Departure of Directors or Principal Officers; Election of Directors;
                    Appointment of Principal Officers.

                On October 13, 2005, Frank Meredith notified Harman International that he intended to resign from his positions as Executive Vice President, Chief Operating Officer and Secretary and director of Harman International.  On October 14, 2005, Mr. Meredith delivered a letter to Harman International tendering his resignation effective immediately.  As a result, he is no longer an officer or director of Harman International or any of its subsidiaries.
