On November 10, 2006, the registrant's subsidiary, Boardwalk Pipeline Partners, LP, issued a press release announcing that it has committed to build a new interstate pipeline and to expand its existing pipeline system. The press release is furnished as Exhibit 99.1 to this Form 8-K.
