Item 8.01. Other Events.
As previously reported, the Company and its wholly-owned subsidiary, Matson Navigation Company, Inc., were named as defendants in a consolidated civil lawsuit purporting to be a class action in the U.S. District Court for the Western District of Washington in Seattle. The lawsuit alleged violations of the antitrust laws and also
named as a defendant Horizon Lines, Inc., another domestic carrier operating in the Hawaii and Guam trades. On August 18, 2009, the court granted the defendants’ motion to dismiss the complaint. The court granted plaintiffs leave to amend the complaint within thirty days to allege claims consistent with the court's Order. If the plaintiffs file an amended complaint, the Company and Matson will continue to vigorously defend themselves in this lawsuit.
