On June 30, 2008, Michael A. Ernst, who resigned as Executive Vice President and Chief Financial Officer of UDR, Inc. (the “Company”) effective June 2, 2008, and the Company entered into a letter agreement relating to the terms of his departure. A copy of the letter agreement is attached to this report as Exhibit 10.1 and is incorporated herein by reference.
Mr. Ernst’s resignation was previously reported on the Company’s Current Report on Form 8-K dated May 30, 2008 and filed with the Securities and Exchange Commission on June 2, 2008 (Commission File No. 1-10524).
