Item 1.01 Entry into a Material Definitive Agreement.

On January 30, 2013, Ladenburg Thalmann Financial Services Inc. (the "Company") appointed Joseph Giovaniello, Jr. as the Company's Senior Vice President-Corporate and Regulatory Affairs and in connection therewith entered into an employment letter with him. Pursuant to the employment letter, Mr. Giovanniello will receive an annual base salary of not less than $250,000 and will be eligible for an annual discretionary bonus. The employment letter provides for an initial term expiring December 31, 2014, subject to automatic one-year renewals. Mr. Giovanniello also will continue to serve as Senior Vice President and General Counsel of Ladenburg Thalmann & Co. Inc., one of the Company's subsidiaries. A copy of the employment letter is attached as Exhibit 10.1 hereto and incorporated by reference herein. The foregoing description of the employment letter is qualified in its entirety by the terms of the employment letter.
