Item 7.01 Regulation FD Disclosure.

On April 19, 2010, Ferro Corporation (NYSE: FOE) issued a press release announcing that it had signed an agreement with Heraeus, a private company based in Hanau, Germany, whereby each company will acquire from the other certain business lines concerning decoration materials for ceramic and glass products. The agreement is subject to customary closing conditions and is expected to close around May 1, 2010.

A copy of the press release announcing the agreement is attached, hereto, as Exhibit 99.1.
