(1) The sale occurred pursuant to a Rule 10b5-1 plan adopted by the reporting person on July 12, 2012.
(2) The price reflects the weighted average price of the shares sold. The prices of the shares sold pursuant to the transactions ranged from $30.92 to $31.26 per share. The reporting person, upon request, will provide the Securities and Exchange Commission staff, the issuer or a security holder of the issuer full information regarding the number of shares sold at each separate price.
(3) These shares are held in a trust for the benefit of the reporting person's children. The reporting person's spouse is the trustee of the trust.
