Item 1.01

Entry into a Material Definitive Agreement.

On July 11, 2018, Santander Consumer USA Inc. (the “Company”) entered into a Tolling Agreement (the “Tolling Agreement”) with FCA US LLC (the “FCA”). Pursuant to the Tolling Agreement, among other things, the parties agreed each party shall fully preserve and retain its respective rights, claims, and defenses as they existed on April 30, 2018 with respect to the Master Private Label Financing Agreement between the Company and FCA entered into on February 6, 2013 (“MPLFA”). The MPLFA was filed as Exhibit 10.4 to the Annual Report on Form 10-K filed by the Company with the Securities and Exchange Commission on February 28, 2018.
