Item 2.02 Results of Operations and Financial Condition.

On January 27, 2016, Qualys, Inc. (“Qualys”) issued a press release reaffirming its previous guidance for the fourth quarter and full year 2015 that was given in the third quarter earnings release and conference call on November 2, 2015. The full text of the press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.

On January 21, 2016, Qualys’ Chief Financial Officer, Donald C. McCauley, informed the Board of Directors of the company of his intent to resign effective as of March 1, 2016.
