The 2015 Annual Meeting of Stockholders of Boston Properties, Inc. will be held on Tuesday, May 19, 2015 at 10:00 a.m., Eastern Time, at 399 Park Avenue, 13th Floor, New York, NY 10022.

Proposals to be voted on at the meeting are listed below along with the Board of Directors’ recommendations.

The Board of Directors recommends that you vote FOR all of the nominees for director listed.

 

  1. To elect the eleven nominees for director named in the proxy statement, each to serve for a one-year term and until their respective successors are duly elected and qualified:

The Board of Directors recommends that you vote FOR Proposals 2 and 3.

  2. To approve, by non-binding resolution, the Company’s named executive officer compensation.
  3. To ratify the Audit Committee’s appointment of PricewaterhouseCoopers LLP as our independent registered public accounting firm for the fiscal year ending December 31, 2015.

The Board of Directors recommends that you vote AGAINST Proposals 4, 5 and 6.

  4. To consider and act upon a stockholder proposal concerning an independent board chairman, if properly presented at the Annual Meeting.
  5. To consider and act upon a stockholder proposal concerning the adoption of proxy access, if properly presented at the Annual Meeting.
  6. To consider and act upon a stockholder proposal concerning a policy regarding accelerated vesting of equity awards of senior executives upon a change in control, if properly presented at the Annual Meeting.
  7. In their discretion, the proxies are authorized to vote upon any other matters that are properly brought by or at the direction of the Board of Directors before the Annual Meeting and at any adjournments or postponements thereof.
