This prospectus covers the sale of an aggregate of 10,921,501 shares of our Common Stock, $0.001 par value per share (the “Shares”), by the selling security holders identified in this prospectus (collectively with any holder’s transferee, pledgee, donee or successor, the “Selling Stockholders”). Of the Shares covered by this prospectus, i) 3,071,672 were issued in a private offering of our Common Stock and ii) 7,849,829 are issuable upon conversion of the Company’s currently outstanding Series C Preferred Stock issued in a private offering.

The Company will not receive any proceeds from the sale by the Selling Stockholders of the Shares. We are paying the cost of registering the Shares covered by this prospectus as well as various related expenses. The selling stockholders are responsible for all selling commissions, transfer taxes and other costs related to the offer and sale of their shares.
