Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

(b) On March 10, 2010, Regions Financial Corporation (“Regions”) was notified by Director Claude B. Nielsen that he would not stand for re-election as a Director at Regions’ 2010 annual meeting of stockholders to be held May 13, 2010 and that he will retire from the Board effective that date. Mr. Nielsen’s decision is not the result of any disagreement with Regions.
