ITEM 2.02. RESULTS OF OPERATIONS AND FINANCIAL CONDITION.

On March 5, 2008, TiVo Inc. released the FY08 Q4 Key Financial Metric Trend Sheets for TiVo Inc.’s fourth quarter and fiscal year earnings conference call. Furnished as Exhibit 99.1 to this Current Report is a revised Trend Sheet for GAAP Statement of Operations page from the previously released FY08 Q4 Key Financial Metric Trend Sheets correcting a missing parenthetical under January 31, 2008 column for the Net cash provided by (used in) operating activities (YTD) line.

The information contained in the FY08 Q4 Key Financial Metric Trend Sheets for TiVo Inc. (and attached reconciliations and related notes) shall not be deemed “filed” for purposes of Section 18 of the Securities Exchange Act of 1934, as amended, or otherwise subject to the liabilities of that Section.
